1. Acceptance of Terms

These Terms of Service (“Terms”) govern access to and use of the Sunrise Classroom Inc.(“Sunrise,” “Company,” “we,” or “our”) platform and related services (“Services”).

By accessing or using the Services, you agree to these Terms.

These Terms apply to two categories of users:

  • Institutional Usersaccessing the Services pursuant to a written agreement with a school district, university, or other educational institution (“Partner”); and
  • Individual Users subscribing independently outside of a written institutional agreement.

2. Order of Precedence (Institutional Users)

For Institutional Users, the following order of precedence applies in the event of any conflict:

  1. Executed Master Services Agreement or Pilot Agreement
  2. Data Protection Agreement (DPA)
  3. These Terms of Service
  4. Privacy Policy
  5. Security Statement

No online clickwrap or unilateral policy update shall modify a signed written agreement without mutual written amendment.

3. Eligibility and Authority

You must be at least 18 years old to create an account.

If accessing the Services on behalf of an educational institution, you represent and warrant that you have authority to bind that institution to applicable agreements.

4. Accounts and Security

Users are responsible for maintaining the confidentiality of account credentials and for all activities occurring under their account.

Users must promptly notify Sunrise of any unauthorized access or suspected security incident.

5. Acceptable Use

Users agree not to:

  • Violate any applicable laws or regulations;
  • Infringe intellectual property, privacy, or confidentiality rights;
  • Upload malicious code or harmful content;
  • Attempt to interfere with the security or integrity of the Services.

Individual Users are responsible for ensuring that any student information uploaded to the Services complies with applicable district policies, employment obligations, and student privacy laws.

Sunrise does not assume institutional compliance obligations unless designated under a written agreement.

6. Intellectual Property

All software, technology, and materials provided through the Services are owned by or licensed to Sunrise.

Users are granted a limited, non-exclusive, non-transferable license to use the Services for lawful educational purposes.

Users retain ownership of uploaded content but grant Sunrise a limited license to store, process, analyze, and display such content solely to provide the Services.

7. Role of Sunrise (Institutional vs. Individual Use)

Institutional Use

When Services are provided under a written agreement with a Partner, Sunrise acts as a Data Processor and service provider. Sunrise may qualify as a “School Official” under the Family Educational Rights and Privacy Act (FERPA) only when designated by and operating under the direct control of the Partner pursuant to that agreement.

Individual Use

When accessed independently by Individual Users, Sunrise acts as a service provider directly to the user and does not automatically operate as a FERPA “School Official” unless formally designated under a written institutional agreement.

8. Artificial Intelligence Features

Sunrise uses artificial intelligence features to provide instructional feedback.

Sunrise does not use Institutional Data to train foundation or general-purpose artificial intelligence models and requires its AI subprocessors to implement contractual restrictions consistent with this commitment.

Data shared with AI subprocessors is limited to the minimum necessary to provide the Services.

AI outputs are advisory only and do not automate student decisions. Users remain responsible for professional judgment. Sunrise does not engage in commercial student profiling.

9. Privacy and Data Protection

Use of the Services is governed by the Privacy Policy.

For Institutional Users, data processing is governed by the applicable Data Protection Agreement.

Sunrise does not sell personal information or use student data for advertising or targeted marketing.

10. Fees and Payment

Fees for Institutional Users are governed by the applicable executed Services Agreement.

Individual subscription fees, if applicable, are due as described at checkout and are non-refundable except where required by law.

11. Term and Termination

Sunrise may suspend or terminate access for violations of these Terms.

Institutional termination rights are governed by the executed Master or Pilot Agreement.

Upon termination, data handling shall be governed by the applicable Data Protection Agreement or Privacy Policy, as applicable.

12. Disclaimers

The Services are provided on an “as is” and “as available” basis.

Sunrise does not guarantee uninterrupted operation or specific educational outcomes.

AI-generated content should be reviewed and evaluated by educators prior to classroom use.

13. Limitation of Liability

For Individual Users, Sunrise's total liability arising from or relating to the Services shall not exceed the fees paid by the Individual User in the twelve (12) months preceding the claim.

For Institutional Users, liability shall be governed by the executed Master or Pilot Agreement.

Nothing in these Terms shall limit liability for:

  • Breach of confidentiality;
  • Gross negligence or willful misconduct;
  • Violations of applicable data protection laws.

14. Indemnification

Individual Users agree to indemnify and hold harmless Sunrise from claims arising from unlawful use of the Services or violations of these Terms.

For Institutional Users, indemnification obligations shall be governed solely by the executed written agreement.

15. Governing Law

For Institutional Users, governing law shall be determined by the executed Master or Pilot Agreement.

For Individual Users, these Terms are governed by the laws of the State of California.

16. Changes to Terms

Sunrise may update these Terms periodically.

For Individual Users, continued use after updates constitutes acceptance of the revised Terms.

For Institutional Users, material changes affecting contractual obligations shall require mutual written agreement.
